Terms of Service

1. About These Terms

These Terms of Service (“Terms”) govern your access to and use of TPT Marketing (“the Service”), operated by TPT Solutions Ltd (“we”, “us”, “our”), a company incorporated in New Zealand. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

TPT Marketing is a digital advertising management platform that enables businesses to create, manage, and analyse paid advertising campaigns across connected advertising platforms including Meta (Facebook and Instagram). It includes tools for campaign creation, creative management, audience targeting, performance analytics, and budget management. We may update, modify or discontinue features at any time. We will give reasonable notice of material changes where practical.

3. Accounts and Access

• You must be at least 18 years old and have authority to bind any business you represent.
• You are responsible for keeping your login credentials secure. You are liable for all activity under your account.
• You must provide accurate, current information when registering and keep it up to date.
• We may suspend or terminate accounts that violate these Terms, at our discretion.

4. Free Trial and Subscriptions

• New accounts may receive a trial period with access to core features. Trial terms are displayed at sign-up.
• After any trial period, continued use requires a paid subscription at the rates displayed on the pricing page.
• Subscriptions are billed monthly in advance. All fees are exclusive of applicable taxes (GST, VAT, etc.).
• You may cancel at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial periods.
• We reserve the right to change subscription pricing with 30 days' notice.

5. Ad Spend and Platform Fees

Advertising spend on connected platforms (e.g. Meta) is billed directly by those platforms according to their own billing terms. TPT Marketing does not collect or hold advertising spend on your behalf. You are solely responsible for your advertising budgets and any charges incurred on connected platforms.

6. Acceptable Use

You agree not to:

• Use the Service to create or manage advertising that violates applicable laws, advertising standards, or the policies of connected advertising platforms.
• Use the Service to promote illegal products or services, spread misinformation, or engage in discriminatory advertising.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Upload or transmit malicious code, viruses, or harmful content.
• Scrape, copy or redistribute any part of the Service without our written permission.
• Resell or sublicense access to the Service to third parties without our written consent.

7. Connected Platform Compliance

By connecting advertising platforms through TPT Marketing, you agree to comply with those platforms' terms of service, advertising policies, and community standards. You are solely responsible for ensuring your ad creative and targeting comply with all applicable platform policies. We may suspend your account if your campaigns violate platform policies.

8. Your Data and Content

You retain ownership of all creative assets, ad copy, and campaign data you upload. By using the Service, you grant us a limited licence to process and submit your content to connected advertising platforms solely to provide the Service. 9. Third-Party Integrations

The Service integrates with third-party advertising platforms including Meta. Your use of those integrations is subject to the terms and privacy policies of those providers. We are not responsible for the availability, accuracy, or conduct of third-party advertising platforms.

10. Intellectual Property

The Service, including all software, designs, text, and trademarks, is owned by TPT Solutions Ltd and protected by New Zealand and international intellectual property laws. These Terms do not transfer any intellectual property rights to you.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee campaign performance, advertising results, or return on ad spend. The effectiveness of advertising campaigns depends on many factors outside our control.

12. Limitation of Liability

To the maximum extent permitted by law, TPT Solutions Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of revenue or advertising spend, arising from your use of or inability to use the Service. Our total liability to you in any 12-month period shall not exceed the total subscription fees you paid to us in that period.

Nothing in these Terms limits liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law.

13. Termination

Either party may terminate the agreement at any time. You may cancel via your account settings. We may suspend or terminate your access immediately if you breach these Terms, violate platform policies, or fail to pay fees. Upon termination, active campaigns will be paused on connected platforms.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts, unless otherwise required by mandatory consumer protection laws in your jurisdiction.
